If you have an HD tv that uses the HDMI connection, then maybe but if you HD TV has a 720p native resolution and a component input then having the Elite it wouldn't make much of a difference as the screen you have can't show the 1080p picture from the Elite in full.
If you have a 1080p panel with HDMI inputs then it's definitely worth getting the Elite, you can add the HD DVD player if you want it, that way those who don't want it don't have to pay the extra.
AFAIK Microsoft have announed the Elite will also be using the 0.65nm chip technology on the CPUs meaning the now smaller processors will consume less power, generate less heat and requie less cooling.
I've also heard some references to the Elite having more support for media codecs with better connectivity to a media centre PC, with the possibility of some DivX style playback ability.
However I've not yet had a chance to confirm any of this with my gaming guru type friend, I'll check out the details when I can get a chance.
